Terms and Conditions

By using the website https://bcnl.foundation/ (the “Website”), attending or participating (physically

and/or via the Website) in events hosted by BCNL (the “Events”), becoming or being a member

and/or explicitly accepting these terms, you hereby agree (i) to become a party to this agreement

(the/this “Agreement”) and (ii) that your counterparty is STICHTING BLOCKCHAIN

NETHERLANDS, a foundation (stichting) incorporated under the laws of the Netherlands, having

its statutory seat and registered offices in (1012 LZ) Amsterdam, the Netherlands, at the address

of Nieuwendijk 9C, registered with the Dutch Chamber of Commerce (Kamer van Koophandel)

under number 74373463 (“BCNL”).

WHAT THESE USER TERMS COVER

This Agreement applies to your membership, all visits to and use(s) of the Website and the

Events, and to all information, recommendations and services that BCNL provides to you via the

Website and/or on the Events, either directly or indirectly on behalf or via her partners (the

“Content”). The Content is made (technically) available and accessible to you by BCNL, either by

BCNL directly or on behalf of one or more partners.

No other (general) terms and/or conditions other than this Agreement are applicable to the legal

relationship(s) between you and BCNL. The applicability of any other (general) terms and/or

conditions is hereby excluded and rejected by you.

THE CONTENT AND OBLIGATIONS

By using the Website and/or attending Events, BCNL will provide services as well as the Content

to you, which will be done exclusively on or via the Website and/or the Events. This will be done

and thus accepted by you exclusively for your own use, in an orderly manner and according to

the standards of reasonableness and fairness.

You realise that being a member, using, attending and/or accessing the Website, the Events

and/or the Content via the Website and/or the Events and (therefore) entering into this Agreement

does not give you any rights and/or does not oblige BCNL to (do) anything, except for the actions

expressed in this Agreement. More specifically and for the avoidance of doubt: using, attending or

accessing the Website, the Events and/or the Content and (therefore) entering into this

Agreement does not give you the right and/or does not oblige BCNL or any other party to enter

into any further agreement whatsoever and/or to obtain any (ownership) rights with respect to

BCNL or any other party in any form whatsoever.

By entering into this Agreement, you hereby confirm and warrant to BCNL that you will be(come)

a member, use, attend and/or interact with the Website, the Events and/or the Content:

only if you are over 18 (eighteen) years old;
at your own risk and expense or, if you are acting for and/or on behalf of a corporate user

(legal entity) that you are legally representing, at the risk and expense of said corporate

user;

exclusively for yourself and not (also) for and/or on behalf of anybody else or, if you are

acting for and/or on behalf of a corporate user (legal entity) that you are legally

representing, for and/or on behalf of said corporate user;

in an orderly manner and according to the standards of reasonableness and fairness as

well as in a legal and non-fraudulent manner. More specifically: you will only use, attend

and/or interact with the Content on or via the Website and/or the Event. You will not

circumvent or illegally access the Website and/or the Events and also not use the Content

via screen-scraping and/or in any other irregular and/or fraudulent way;

only if you are legally permitted thereto under the laws and regulations applicable to you

and applicable to this Agreement to do so; and

in a manner that is not in breach of any third party’s rights and/or other obligations (in the

widest sense and however named), does not conflict with the applicable standards of

reasonableness and fairness, nor in a way that is contrary to public order or morality.

In the event that you breach any of the aforementioned confirmations and/or warranties, BCNL is

legally entitled to immediately, without giving you prior notice thereof, cancel or suspend your

membership, exclude you from using, attending and interacting with the Website, the Events and

the Content.

BCNL may implement a KYC (know your customer) and/or AML (anti money laundering)

procedure and accompanying checks applied by BCNL and/or a third party designated thereto by

BCNL in the future. By entering into this Agreement, you hereby agree in advance to the

applicability of any such procedure and accompanying checks. This may result in BCNL formally

requesting you to complete said KYC and/or AML procedure(s) in order to be allowed access to

the Website, the Events and (thus) the Content. Should you at any point in time fail to

successfully complete said procedure(s) - which is to be determined at the sole discretion of

BCNL and/or a third party designated by BCNL - BCNL is legally entitled to exclude you from

using, attending and interacting with the Website, the Events and the Content.

EVENT TICKETING, (RE)SCHEDULING AND ATTENDANCE

BCNL will use a thirty party (re)seller for promoting, providing information regarding and selling

entrance tickets to Events. The terms and conditions of the relevant third party may (also) be

applicable to such a ticket sale.

BCNL exclusively and unilaterally determines the time and date, price and the number of

available places for Events. Information on schedules, prices and availability is provided on a

non-binding basis and may be subject to change.

Tickets to Events are non-refundable and cannot be transferred between holders thereof and

other third parties unless BCNL consents thereto beforehand and in writing. BCNL is legally

entitled to refuse access to any person that does not have an entrance ticket to an Event that is

registered in his/her name or is not officially registered for an Event - which is to be determined at

the sole discretion of BCNL and/or a third party designated by BCNL.

It is your own responsibility to check whether an Event has been rescheduled or cancelled and (if

applicable) what the new time or location will be. Although BCNL will use its best efforts to try and

inform you of a rescheduling or cancellation, BCNL cannot guarantee that you will be informed of

the rescheduling or cancellation before the date of the Event.

MEMBERSHIP AND FEES

If you are a member of BCNL, BCNL will invoice to you a membership fee for a full calendar year

which is due annually. Invoices are raised and collected in EUR.

If you wish to cancel your BCNL membership, you must do so before the beginning of the new

calendar year in which you do not wish to be a member anymore. F.i.: if you do not wish to be a

member in 2025, you must cancel your membership at the latest on 31 December 2024.

Cancellations must be made per e-mail via: [e-mail address]. If you do not cancel your

membership in time, this will automatically renew for 1 (one) year and the membership fee will be

due in full over that new year.

LIABILITY

Unless stated otherwise in this Agreement, BCNL is not and cannot be held liable for any

damage(s), in the widest sense and however named, explicitly including (but not limited thereto)

indirect and consequential damages, resulting from you using, attending and/or interacting with

the Website, the Events, the Content and/or (the execution of) this Agreement. However, no

provision under this Agreement shall limit in time or amount the liability of BCNL in relation to any

breach of (the execution of) this Agreement or any other act(ion) causing damage to you if the

facts and/or circumstances giving rise thereto, and/or aggravation of the consequences thereof,

are attributable to intent (opzet), fraud (fraude) and/or deceit (opzettelijke misleiding) on the part

of BCNL.

BCNL is not and can under no circumstance(s) be held liable for any damage(s), in the widest

sense and however named, explicitly including (but not limited thereto) indirect and consequential

damages, resulting from incorrect, wrongful, reckless and/or unlawful act(ion)s or use, explicitly

including (but not limited to) use in breach of this Agreement, of the Website, the Events, the

Content and/or a(ny) other breach of this Agreement by you.

BCNL does not and cannot guarantee (the quality of) the services (to be) provided by third parties

to you, such as (but not limited thereto) the hosting of Event locations, (sub)events organized

during Events, IT infrastructure and related services, since the relevant third parties will provide

their service(s) directly to you and/or lie within their sphere of risk. Therefore, BCNL is not and

can under no circumstance(s) be held liable for any damage(s), in the widest sense and however

named, explicitly including (but not limited thereto) indirect and consequential damages, resulting

from (legal) act(ion)s performed and/or commitments made by third parties to(wards) you.

LINKED SITES AND PRIVACY

The Website and (during) Events may provide links to external internet sites, such as social

media internet sites. BCNL is not liable for the use or content of external sites that link to or from

the Website and/or the Events. BCNL’s privacy policy, which is available on the Website, does

not apply to the collection and processing of your (personal) data on or via those external sites -

said privacy policy is only applicable to the information that is directly provided by you to BCNL.

We strongly suggest that you inquire with the relevant party providing the external site(s) on its

INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, BCNL is the exclusive owner all rights related to the Website, the

Events and the Content, including copyrights and other intellectual property rights.

Neither the use, attendance and/or interaction with the Website, Events or Content nor (the

execution of) this Agreement shall be construed as granting to you any rights under any patent,

INVALIDITY

If provisions in this Agreement are or become (partially) invalid or nullified, you and BCNL will

continue to be bound to the remaining provisions. The invalid or nullified provisions shall be

considered as being replaced by provisions that are valid and achieve so far as possible the

intended effect of the invalid or nullified provisions, taking into account the full content and

purpose of this Agreement.

FINAL PROVISIONS

You are not entitled to transfer any right(s) and/or the legal relationship between BCNL and you,

this Agreement and/or any of your rights and/or obligations hereunder without BCNL’s prior

written consent. This restriction of transferability has, in addition to contract law effect, property

law effect (goederenrechtelijke werking) as referred to in section 3:83 paragraph 2 of the Dutch

Civil Code (Burgerlijk Wetboek).

By using, attending and/or interacting with the Website and/or Events, and thus entering into this

Agreement, you give BCNL permission in advance for the transfer of its rights and obligations

under this Agreement and all related (legal) acts to third parties, either by contract transfer

(section 6:159 of the Dutch Civil Code), or separately (section 6:155 of the Dutch Civil Code). If

BCNL makes a transfer, it will remain responsible to you for the fulfilment of its obligations under

this Agreement until BCNL has notified you of the transfer and the (legal) person to whom BCNL

has transferred its obligations under this Agreement.

This Agreement, the execution thereof, and any non-contractual obligations arising out of or in

connection with this Agreement are exclusively governed by and shall be construed in

accordance with the laws of the Netherlands.

Any disputes arising out of or in connection with this Agreement, including regarding the

existence or validity of this Agreement, the execution thereof, and any non-contractual obligations

arising out of or in connection with this Agreement, are subject to the exclusive jurisdiction of the

competent court in Amsterdam, the Netherlands (Rechtbank Amsterdam).
